Terms of Service

Terms and conditions governing your use of our services.

These Terms of Service (“Terms”) govern your access to and use of the website, client portal, and related services (collectively, the “Service”) provided by The Intelligence Layer, LLC (“The Intelligence Layer,” “we,” “us,” or “our”).

By creating an account, submitting a form, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Overview of Services

The Intelligence Layer builds custom AI-powered intelligence platforms for mid-market businesses. The Service includes:

  • A public marketing website with information about our offerings.
  • A client portal with account registration, an onboarding questionnaire, interactive product demos, messaging, document sharing, and call scheduling.
  • AI-powered features, including an interactive demo chatbot that uses artificial intelligence to respond to your questions.

Paid engagement services (efficiency audits, platform builds, ongoing platform management) are governed by individual client agreements executed separately. In the event of a conflict between these Terms and a signed client agreement, the client agreement controls.

2. Account Registration

2.1 Eligibility

The Service is intended for business professionals. You must be at least 18 years of age and have the authority to bind yourself (or the entity you represent) to these Terms.

2.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@theintelligancelayer.com if you suspect unauthorized use of your account.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. We reserve the right to suspend or terminate accounts that contain materially inaccurate information.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to any part of the Service, other users’ accounts, or systems connected to the Service.
  • Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated tools (bots, scrapers, crawlers) to access the Service without our prior written consent.
  • Submit false, misleading, or fraudulent information through forms or during registration.
  • Upload files containing malware, viruses, or other harmful code.
  • Impersonate another person or entity, or misrepresent your affiliation with any person or entity.
  • Use the AI-powered features to generate content that is illegal, harmful, deceptive, or that infringes the rights of others.

We reserve the right to suspend or terminate your access if you violate these terms.

4. Interactive Demo and AI Features

4.1 Demo Environment

The interactive demo is provided for evaluation purposes. Demo environments may contain synthetic or illustrative data and are not intended to represent actual business outcomes. Any financial figures, projections, or metrics displayed in a demo are for demonstration purposes unless explicitly identified as derived from your real data under a client agreement.

4.2 AI-Generated Content

The Service uses artificial intelligence (powered by Anthropic Claude) to generate responses, summaries, and analytical outputs. AI-generated content is provided for informational purposes and should not be treated as professional financial, legal, or strategic advice. You are responsible for independently verifying any AI-generated output before making business decisions based on it.

4.3 AI Input Data

When you interact with AI-powered features, your input is sent to our AI provider (Anthropic) for processing. Do not submit information through the AI features that you are not authorized to share or that is subject to confidentiality obligations, unless covered by a separate client agreement that addresses data handling for that engagement.

5. Intellectual Property

5.1 Our Property

All content, design, code, trademarks, and technology comprising the Service are the property of The Intelligence Layer or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

5.2 Your Content

You retain ownership of the information and materials you submit through the Service (questionnaire responses, messages, uploaded files). By submitting content, you grant us a limited, non-exclusive license to use that content as necessary to provide the Service, including generating personalized demos, preparing call materials, and processing AI queries on your behalf.

5.3 Client Platform IP

Intellectual property rights for custom intelligence platforms built under paid client engagements are governed by the applicable client agreement, not these Terms.

6. Payment Terms

Certain features of the Service require payment. Payment terms, including fees, billing frequency, and cancellation procedures, are specified in your client agreement or as presented at the point of purchase.

  • Payments are processed by Stripe. By making a payment, you agree to Stripe’s terms of service.
  • You are responsible for providing accurate billing information and keeping your payment method current.
  • Unless otherwise stated in your client agreement, fees are non-refundable once services have been rendered.

7. Privacy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

8. Third-Party Services

The Service integrates with third-party platforms (including Supabase, Stripe, Anthropic, PostHog, Resend, Cal.com, and Google) to provide its functionality. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or availability of third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing:

  • We do not warrant that the Service will be uninterrupted, error-free, or secure.
  • We do not warrant the accuracy, completeness, or reliability of any content generated by AI features.
  • We do not provide financial, legal, tax, or investment advice. Any analytical outputs from the Service are informational and should be reviewed by qualified professionals before use in decision-making.
  • Demo data (including synthetic financial figures) is illustrative and does not represent actual or projected performance.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE INTELLIGENCE LAYER AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

This limitation applies regardless of whether we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless The Intelligence Layer and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the Service.

12. Termination

You may stop using the Service and close your account at any time by contacting us at hello@theintelligancelayer.com.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination include, but are not limited to, violation of these Terms, suspected fraudulent activity, or extended inactivity.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you by email or through the Service. Your continued use of the Service after a change constitutes acceptance of the updated Terms.

15. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy and any applicable client agreement, constitute the entire agreement between you and The Intelligence Layer regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.
